These Terms of Service ("Terms") govern your access to and use of Quizr and related services (the "Service") provided by StartUp Media Ltd ("Quizr", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to these Terms.

1. Eligibility and Authority

You represent and warrant that:

• you are legally capable of entering into these Terms; and
• if you use the Service on behalf of an organization, you are authorized to bind that organization.

If you do not meet these requirements, do not use the Service.

2. Account Registration and Security

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activities under your account;
• providing accurate and current account information.

You must promptly notify us through the contact details at startupmedia.uk if you suspect unauthorized account access.

3. Service Access and License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.

You must not:

• reverse engineer, decompile, or attempt to extract source code from the Service;
• use the Service to violate laws or third-party rights;
• interfere with Service operation, security, or integrity;
• access the Service in a way that bypasses plan limits, quotas, or technical controls.

4. Customer Content and Responsibility

You retain ownership of content, data, and materials you submit to the Service ("Customer Content").

You grant us a non-exclusive license to host, process, and transmit Customer Content solely to operate, maintain, and improve the Service.

You are solely responsible for:

• legality, accuracy, and quality of Customer Content;
• obtaining all rights and permissions required for collection and processing;
• compliance with applicable privacy, marketing, and data protection laws.

5. Acceptable Use

You may not use the Service to:

• collect unlawful, discriminatory, or sensitive personal data without required legal basis and disclosures;
• send spam, malware, or deceptive content;
• infringe intellectual property or privacy rights;
• conduct activities that are fraudulent, abusive, or harmful.

We may suspend access for violations of this section.

6. Plans, Billing, and Subscription Terms

Paid plans are billed via Stripe and governed by your selected plan, billing cycle, and applicable taxes.

6.1 Billing Cycles and Renewal

• Monthly and annual subscriptions renew automatically unless cancelled.
• Renewal occurs at the end of each billing period unless cancelled in advance.

6.2 Price Changes

We may update pricing for future billing periods. We will provide reasonable prior notice where required by law.

6.3 Trials, Usage, and Add-ons

• Eligible organisations may receive one 14-day Trial and must provide a valid payment method.
• Trial and plan changes do not reset usage already recorded in the current billing cycle.
• Plan limits apply to responses, publications, quizzes, sites, members, storage, and email notifications as shown before purchase.
• Optional add-ons increase only the resource described at purchase. Usage-based charges and add-ons are calculated and billed through Stripe.

6.4 Taxes and Overage

Prices may exclude taxes. Stripe calculates applicable tax using the billing details you provide. Where a paid plan permits response overage, charges are calculated in the blocks and currency displayed in the billing panel before the end of the cycle.

6.5 Failed Payments

If payment fails, we may retry charges and/or limit paid features until the account is brought current.

6.6 Cancellation

You may cancel through your billing portal.

Unless otherwise stated in your plan, cancellations apply at the end of the current paid period.

6.7 Refunds

Refunds are handled according to our refund policy in effect at the time of charge and applicable law.

7. Third-Party Services

The Service may integrate with third-party services (including payment providers, hosting, and analytics).

Your use of those services is subject to their own terms and policies.

We are not responsible for third-party services beyond our legal obligations.

8. Intellectual Property

The Service, including software, branding, and documentation, is owned by us or our licensors and protected by intellectual property laws.

No rights are granted except as expressly stated in these Terms.

9. Confidentiality

Each party may receive non-public information ("Confidential Information").

The receiving party must use Confidential Information only for permitted purposes and protect it with reasonable care.

10. Data Protection

Where required, we will process personal data in accordance with our Privacy Policy and any applicable data processing addendum or contractual terms.

11. Service Availability and Changes

We may modify, update, or discontinue features from time to time.

We do not guarantee uninterrupted or error-free operation.

12. Term and Termination

These Terms remain effective while you use the Service.

Either party may terminate:

• for convenience, by discontinuing use/cancelling subscription; or
• for material breach if uncured after reasonable notice (or immediately for serious violations).

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL;
• OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15. Indemnification

You agree to indemnify and hold harmless StartUp Media Ltd, its affiliates, and personnel from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, excluding conflict-of-law principles.

The courts of England and Wales will have jurisdiction, unless mandatory law requires otherwise.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.
